Service Agreement — California
California Decline-in-Value Evidence Package
1. AGREEMENT
This Service Agreement (the "Agreement") is a legally binding agreement between you ("you" or "Customer") and Jasmine Lane, Inc., a Delaware corporation ("Jasmine Lane," "we," "us," or "our"). It governs one service: the California Decline-in-Value Evidence Package (the "Package") described in Section 3, for one property in Los Angeles, Sacramento, or Contra Costa County and the 2026 review. You accept this Agreement by checking the box at signup (clickwrap acceptance). There is no separate authorization to sign.
This is the only service agreement that applies to the Package. The Service Agreement we use for properties in Georgia does not apply to it.
This Agreement is separate from our Terms of Service, which govern your use of the website at jasminelane.app (the "Site"), and from our Privacy Policy. All three apply to you. If they conflict about the Package, this Agreement controls.
In this Agreement, "County" means the county where your property is — Los Angeles, Sacramento, or Contra Costa — "Assessor" means that County's Assessor, and "Appeals Board" means that County's Assessment Appeals Board. "Review request" means the County's own informal decline-in-value review request: in Los Angeles County, the Decline-in-Value Review (Form RP-87); in Sacramento County, the Request for Assessor Review (Prop 8); in Contra Costa County, the Request for Value Review (Prop 8).
We may update this Agreement from time to time:
- Operational changes (such as updates to processes, contact information, or other provisions that do not affect what you pay or when) — we will update the "Last updated" date and notify you by email or in-product notice. Your continued use of the Package after such an update constitutes your acceptance of the updated Agreement.
- Material changes to economic terms (the $149 fee, when it becomes due, or the refund promise in Section 6) — we will notify you by email and obtain your affirmative acceptance of the updated terms before they apply to you.
2. ELIGIBILITY
You may sign up for the Package only if:
- You are at least 18 years old and above the age of majority in the jurisdiction where you live.
- You have the legal capacity to enter into binding contracts.
- You are an owner of record of the property, OR you are legally authorized to act for its owner (for example, as trustee of a trust that holds it) and to agree to this Agreement on the owner's behalf.
- The property is residential property in Los Angeles, Sacramento, or Contra Costa County, California.
If you are signing up on behalf of an entity (for example, a trust, LLC, partnership, or estate that owns the property), you represent that you have authority to bind that entity to this Agreement, and all references to "you" in this Agreement apply both to you personally and to that entity.
Entity-signer indemnification. If you are accepting this Agreement on behalf of an entity, you personally represent and warrant that you have the legal authority to bind that entity to this Agreement, and you personally agree to indemnify Jasmine Lane against any claim arising from a lack of such authority — including any claim by another owner, member, beneficiary, executor, or interested party that you lacked the authority to act for the property or the entity. This indemnification is in addition to, and not in limitation of, the indemnification obligations in Section 12.
3. THE SERVICES — WE PREPARE, YOU FILE (AND IN CONTRA COSTA, WE SEND WHAT YOU SIGN)
Jasmine Lane is an assessment reduction filing service. For the Package, we:
- Prepare an opinion of value for your home as of January 1, 2026, using recorded sales of comparable homes and, where available, an automated valuation from a third-party data provider as a second signal. Where the two differ, we state the more conservative figure: the higher of the two values. If the comparable sales listed in your Package point higher still — at their lowest price per square foot, applied to your home's living area — we state that value instead. This step does not apply to an opinion of value we mailed you in a letter before September 24, 2026.
- Prepare your Package: the comparable sales we relied on (address, sale date, sale price, and the property characteristics we compared), the opinion of value, and the values for your County's review request.
- Provide a guided filing page on the Site for your County, and help while you file if you want it: a one-to-one walkthrough call you can book, or a call or text to our California line. The page works the way your County takes the request:
- Los Angeles County: the values to enter in each field of the Assessor's online filing, in the order the form asks for them. You sign in to the Assessor's website and file.
- Sacramento County: a button that opens the Assessor's own online request form with our values already filled in. You add your name, email, and phone, check it, and submit it on the Assessor's website.
- Contra Costa County: the County's own form, filled in, for you to check and sign on the Site. The County takes this request by fax or mail only; at your written direction we fax it for you (see "Contra Costa County: we send the request you sign," below).
- Provide a free Homeowners' Exemption checklist (see "The Homeowners' Exemption checklist is free," below).
- Communicate with you about your Package by email and, if you opt in, by text message (Section 8).
What we do not do
- We do not sign anything for you, and in Los Angeles and Sacramento counties we do not submit, mail, or file anything with the Assessor, the Appeals Board, or any other County office. You file your own request, under your own name, on the Assessor's website. The one exception is Contra Costa County, where at your written direction we fax the request you signed (below).
- We do not communicate with the Assessor, the Appeals Board, or any County official about your property or its value — before, during, or after your filing. We do not contact the County to check on, follow up on, or negotiate your request. Sending your signed request in Contra Costa County is not an exception to this: we send it, and the Assessor contacts you.
- We do not appear at any hearing or meeting on your behalf. No one from Jasmine Lane will appear before the Assessment Appeals Board.
- We do not act as your tax agent, your attorney, or your representative in any capacity. We are not registered as a tax agent with any County, and we do not communicate with the County on your behalf.
- We do not prepare an Application for Changed Assessment (the formal appeal to the Appeals Board), and we do not advise you on whether or how to pursue one.
The Appeals Board is a separate process. Each County states its own dates, and we repeat them in its words:
- Los Angeles County. The Assessor's instructions for the Decline-in-Value Review say that if you do not receive the Assessor's findings by October 1, 2026, or you disagree with them, you may file an appeal with the Appeals Board; that the appeal must be filed no later than November 30, 2026; and that you may file it without waiting for the Assessor's response.
- Sacramento County. The Assessor's form says that if you are not notified of the results of the review by November 1, 2026, or disagree with them, you should consider filing an Assessment Appeal Application with the Appeals Board, whose filing period is July 2 through November 30, 2026. The Assessor's FAQ adds that a review completed after November 30 leaves no further right to appeal unless you had already filed an appeal.
- Contra Costa County. The County's form says that to have your issue heard by the Appeals Board you must file a timely Application for Changed Assessment with the Clerk of the Board of Supervisors, and that the annual filing period is July 2 through November 30.
After your filing is confirmed, we give you the link to the County's own application and the County's own instructions, and nothing else.
The opinion of value is yours to adopt. Our opinion of value is an estimate built from public sales data. When you enter it on the Assessor's form, submit a form that carries it, or sign a form that carries it, you are stating your opinion of your property's value, under your own signature and attestation. We never enter anything on the Assessor's website for you, we never sign for you, and we never ask you to state a value you do not believe. You may change any value before you submit or sign.
What the Package covers. The Package covers one property and the Assessor's informal review of its 2026 assessed value under your County's review request. It does not cover an appeal to the Appeals Board; any other tax year or property; supplemental or escape assessments; disputes about ownership, title, or boundaries; exemption claims (the checklist below is information only); or your tax bill, its payment, or any penalties.
A reduction lasts one year. If the Assessor lowers your value, the lower value applies to the 2026–27 tax year. The Assessor reviews a decline-in-value reduction every year after that, and the value can rise again as the market recovers — but not above your Proposition 13 value.
Contra Costa County: we send the request you sign
Contra Costa County takes the review request by fax or mail only; there is no online form. So for a Contra Costa property:
- You sign; we send. On the Site you check the County's own form (the Request for Value Review, Prop 8), filled in with your details and our values, and you sign it under the County's own penalty-of-perjury statement. You also sign a written authorization for Jasmine Lane to send that request. California law (Business and Professions Code section 17537.9(e)) requires that authorization before a filing service files a request, and requires a copy of it to go with the request. It covers that one request for the 2026–27 assessment year and nothing else.
- What we fax. We fax the Assessor a cover sheet, the form you signed, a copy of your authorization, and pages 1–2 of your Package (the opinion of value and the comparable sales), as the County's form invites. We send exactly what you signed. We do not change it, and we do not sign anything for you.
- When. We send it promptly after you sign. If you sign again before we send it, we send the newer one instead. If we cannot get the fax through, we tell you by email and keep trying; if we still cannot send it before the County's November 30, 2026 date, we tell you, nothing is owed, and you may mail the form yourself.
- The Assessor contacts you. Your name, mailing address, phone, and email go on the form, and the cover sheet asks the Assessor to contact you directly. We do not discuss your property or its value with the Assessor or the Appeals Board.
- Your records. We keep a copy of what we faxed and the fax confirmation, and you can download your Package from the Site at any time.
Help while you file
The walkthrough call is optional, and you drive. If you book a walkthrough call, a member of our team joins you by video for about fifteen minutes while you complete your filing on your own screen.
- You share your screen; we never control it. We do not take remote control of your computer, and we never type, click, sign, or submit anything for you. You complete your County's steps yourself: in Los Angeles County you enter your PIN, complete the security check, confirm your ownership, and press submit; in Sacramento County you add your details and press submit; in Contra Costa County you sign on the Site.
- We begin every walkthrough call by reading the boxed notice at the top of this Agreement, and by reminding you that no one from Jasmine Lane will appear before the Appeals Board and that nothing is charged before your filing is confirmed.
- We do not record your screen. Calls are not video-recorded. If we want to take audio notes or an audio recording for our own records, we will tell you at the start and ask for your consent first; you may decline, and the call goes ahead without it.
Procedure, not strategy — on every call, text, and email. We explain what each field on your County's form asks for, how the comparable sales in your Package were selected, where to find the Assessor's 2026 value, and the County's deadlines. We do not tell you whether to file, what value to state beyond explaining our opinion of value, or anything about the formal appeal process. We refer questions of that kind to the Assessor's office or to a licensed professional.
The Homeowners' Exemption checklist is free
California's Homeowners' Exemption reduces the assessed value of an owner-occupied principal residence by $7,000 — roughly $70 to $85 a year in these counties. Many eligible owners have not claimed it. On the Site we show you whether the Assessor's records indicate the exemption on your property, explain the eligibility rules and deadlines, and point you to the Assessor's claim form and filing channel.
This is free, for everyone, whether or not you buy the Package, and buying the Package is never a condition of receiving it. We do not prepare or file the exemption claim (it requires your Social Security number and a signature under penalty of perjury, neither of which we collect), and nothing about it is included in the $149 fee.
Your part
- File it yourself, if you decide to file. In Los Angeles County, you personally sign in to the Assessor's online filing system, enter your own parcel number and PIN, complete any security check, review the form, confirm that you own the property, and submit the request. In Sacramento County, you open the Assessor's online form from our guided page, add your own name, email, and phone, review it, and submit it. In Contra Costa County, you review the County's form on the Site and sign it and the written authorization, and we send it. You may decide not to file; nothing is owed if you do not (Section 5).
- Tell us when you have filed. In Los Angeles County, the Assessor's system shows a confirmation number; in Sacramento County, the Assessor emails you a confirmation. You agree to enter the confirmation on our guided page, or to forward the Assessor's confirmation email to us, promptly. Section 5 explains why this matters. In Contra Costa County there is nothing to tell us: the fax confirmation is ours.
- Keep your information accurate. The property must be your own, or one you are authorized to act for (Section 2), and the contact details you give us must be current.
- Use the Package for what it is. You may use it to prepare your own filing. You may not resell it, or present it as an appraisal or as a document prepared by or for the County.
Not legal or tax advice
Jasmine Lane is not a law firm or an accounting firm, and nothing we provide is a legal opinion or tax advice. Our opinion of value is an estimate built from public sales data; it is not an appraisal. If you need advice about whether to file, what value to state, or the formal appeal process, consult a licensed professional, or contact the Assessor's office directly at no cost.
4. OPTIONAL PERMISSION: CONFIRM MY FILING
Los Angeles County only. At signup you can check one optional box: "Optional: confirm my filing for me." It is unchecked unless you check it, and nothing about the Package depends on it. Checking it gives us your permission to confirm your filing: after your Package is delivered, a person on our team may check whether your Decline-in-Value Review request has been filed by reading the request-status page for your parcel on the Assessor's website, which asks for your parcel number and the PIN printed on your property tax bill. This is a read-only check of your own property's filing status. We never submit, change, or send anything there; it is not a communication with the Assessor's office; we use it for no other purpose; and we do not store your PIN.
If you leave the box unchecked, you tell us when you have filed (Section 5). You may withdraw this permission at any time by emailing hello@jasminelane.app. Leaving the box unchecked or withdrawing the permission does not change when the fee is due: it is still due when you file, and you agree to tell us when you have.
5. THE FEE, AND WHEN IT IS DUE
The fee is $149, flat. One fee per property, for the 2026 review. No percentage of savings, no subscription, no renewal, and no other charge of any kind. The County charges nothing to file a review request.
Nothing is owed unless you file. California law (Business and Professions Code section 17537.9(c)) prohibits us from charging, demanding, or collecting any money for this service until after your request is filed with the Assessor. We follow that rule exactly:
- No charge, no authorization hold, and no invoice before your filing is confirmed. When you save a payment card at signup, we store it with our payment processor (Stripe) and nothing else happens — no charge, no temporary hold, no verification charge.
- The fee becomes due when you file. Your filing is confirmed when any one of the following happens: (a) you enter the Assessor's confirmation on our guided page; (b) you forward the Assessor's confirmation email to us; (c) in Los Angeles County, with the permission described in Section 4, a person on our team reads the status of your request on the Assessor's website and sees that it has been filed; or (d) in Contra Costa County, the fax of the request you signed goes through to the Assessor, as shown by the fax confirmation.
- How we charge. Once your filing is confirmed, we email you a notice stating the date your request was filed and that the $149 fee is being charged. We then charge the card on file, and Stripe emails you a receipt. We never charge on a timer — a charge is never triggered by the passage of time, only by a confirmed filing.
Card on file. You authorize Jasmine Lane to charge the payment card you save at signup only when your filing has been confirmed as described above, and only for the $149 fee. No other charge is authorized. You may remove or replace the card at any time in your account or by emailing hello@jasminelane.app; removing the card does not cancel a fee already due.
If a charge does not go through. If the card is declined after your filing is confirmed, the fee remains due. We will email you a link to update your card and try again at reasonable intervals over the following thirty (30) days. There is no late fee, and we will not refer the balance to collections during that period. If we still cannot collect, we will work with you on another way to pay.
If you think we charged you by mistake. If you believe a charge was made in error — for example, because you did not file — email hello@jasminelane.app. We will respond within fifteen (15) business days, and if the charge was made in error, we will refund it.
If there is no case. If, before you file, the Assessor's 2026 value for your property turns out to be at or below our opinion of value — for example, because the Assessor already lowered it — our guided page will tell you "no case, do not file." Nothing is owed, and we remove your card as described in the next paragraph.
If you decide not to file. Nothing is owed. You may keep the Package. We remove your card sixty (60) days after the Package is delivered if no filing has been confirmed, or sooner if you ask.
6. OUR REFUND PROMISE
If you don't save more than $149, we refund the $149. In full.
- What counts as savings. Your savings are the amount the Assessor lowers your property's 2026 assessed value as a result of your review request, multiplied by your property's tax rate. For the tax rate, we use the rate on your 2026–27 property tax bill if you send it to us; otherwise we use the rate in our estimate for your home. (For example, at a 1.2% rate, a reduction of about $12,400 or less is refunded.)
- When the fee is earned. The fee is earned only if your savings are more than $149. If the Assessor denies your request, lowers your value by too little to save you more than $149, or has not reduced your 2026 assessed value by June 30, 2027, we refund the fee, even if you later obtain a reduction from the Appeals Board.
- How we check. We read the assessed value shown for your parcel on the Assessor's public property-information page. That page is public, requires no sign-in, and is not a communication with the Assessor's office. You may also send us the Assessor's written decision, or your tax bill.
- When. We issue the refund within fifteen (15) business days after the earlier of (a) the day you send us a written decision from the Assessor under which your savings are $149 or less, or (b) June 30, 2027, if the Assessor's record still shows no reduction of your 2026 assessed value large enough to save you more than $149 on that date. Refunds go to the card we charged; if that card is closed, to another method you give us.
- Everyone gets this promise. It applies to every California customer, including anyone who accepted an earlier version of this Agreement.
- What this is, and is not. This is a promise about our fee. It is not a promise or a prediction about what the Assessor will decide, and it does not mean your assessed value will be reduced. The decision is the Assessor's alone.
7. CANCELLATION
You may cancel at any time by emailing hello@jasminelane.app. Cancelling ends the permission in Section 4.
- If you have not filed, nothing is owed, and we remove your card. In Contra Costa County, cancelling after you sign but before we send your request withdraws your authorization: we do not send it.
- If you have already filed, cancelling does not undo the fee: it is due under Section 5, and the refund promise in Section 6 still applies.
- Your request stays yours. Cancelling this Agreement does not withdraw a request you have filed with the Assessor.
8. TEXT MESSAGES (OPTIONAL)
Text messages are optional. When you enter your phone number at signup, you can check a box to receive texts about your Package from our California line, (310) 881-8522 — automated updates and personal replies from our team. Texting is not a condition of buying the Package; if you do not opt in, we email you instead. Message frequency varies. Message and data rates may apply. Reply STOP to opt out, HELP for help. Our SMS Disclosure has the details.
You also agree that we may email you about your account and the Package.
9. ELECTRONIC COMMUNICATIONS AND SIGNATURES
You agree that all agreements, notices, disclosures, receipts, and other communications we provide to you electronically — including by email, text message, and through the Site — satisfy any legal requirement that such communications be in writing.
You expressly consent to the use of electronic signatures under the federal Electronic Signatures in Global and National Commerce Act (E-Sign Act), the California Uniform Electronic Transactions Act, and analogous laws, including for accepting this Agreement and for giving or withdrawing the permission in Section 4. You acknowledge that an electronic signature has the same legal effect as a handwritten signature.
Right to receive paper copies
You have the right to receive paper copies of any agreement, notice, disclosure, or receipt we provide to you electronically. To request a paper copy, email hello@jasminelane.app with the document name and your mailing address; we will mail it to you within ten (10) business days at no charge.
Right to withdraw consent to electronic communications
You may withdraw your consent to receive electronic communications at any time by emailing hello@jasminelane.app. Withdrawal will be effective for communications sent after we process your withdrawal notice (typically within five (5) business days). Note: withdrawal of electronic-communications consent will make it impractical for us to continue providing the Package, since the Package relies on electronic communications. In that case, we will treat your withdrawal as a request to cancel under Section 7.
Hardware and software requirements
To access electronic communications from us, you need:
- a device with internet access (computer, tablet, or smartphone);
- a current version of a major web browser (Chrome, Safari, Firefox, or Edge);
- a working email address;
- the ability to view and store PDF files; and
- if you have opted in to text messages, a mobile phone capable of receiving them.
Updating your contact information
It is your responsibility to keep your email address and (if applicable) phone number current. You may update them in your account settings or by emailing hello@jasminelane.app.
10. DISCLAIMERS
THE PACKAGE AND OUR SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JASMINE LANE, ITS AFFILIATES, AND ITS AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
NO PROMISE ABOUT THE OUTCOME. WE MAKE NO PROMISE OR REPRESENTATION THAT FILING A REVIEW REQUEST WILL RESULT IN ANY REDUCTION, ANY PARTICULAR AMOUNT OF SAVINGS, OR A DECISION BY ANY PARTICULAR DATE. OUR OPINION OF VALUE AND ANY SAVINGS ESTIMATE ARE BASED ON PUBLIC DATA AND OUR ANALYSIS OF COMPARABLE SALES AT A POINT IN TIME; THE OUTCOME DEPENDS ON THINGS OUTSIDE OUR CONTROL, INCLUDING THE ASSESSOR'S JUDGMENT AND THE QUALITY AND AVAILABILITY OF SALES DATA. THE ASSESSOR DECIDES YOUR ASSESSED VALUE; THE APPEALS BOARD, IF YOU GO TO IT, HAS THE AUTHORITY TO RAISE IT AS WELL AS TO LOWER IT. THE REFUND PROMISE IN SECTION 6 IS A TERM ABOUT OUR FEE AND NOTHING MORE. NOTHING IN THE PACKAGE IS LEGAL, TAX, FINANCIAL, OR INVESTMENT ADVICE.
CERTAIN JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OR ALL OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU.
11. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL JASMINE LANE, ITS AFFILIATES, OR ITS AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF GOODWILL, LOSS OR CORRUPTION OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PACKAGE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING THE FOREGOING, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PACKAGE, WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE, WILL NOT EXCEED THE LOWER OF (A) FIVE HUNDRED DOLLARS ($500), OR (B) THE AMOUNTS PAID BY YOU TO JASMINE LANE FOR THE PACKAGE DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Carve-outs from limitation
The exclusions and limitations in this Section 11 do not apply to liability arising from:
(a) our gross negligence, willful misconduct, or fraud; (b) our breach of our confidentiality or data security obligations; (c) bodily injury or death caused by our negligence; or (d) any matter for which liability cannot be limited or excluded under applicable law, including (without limitation) California Civil Code section 1668 and the Consumers Legal Remedies Act (California Civil Code section 1750 et seq.).
CERTAIN U.S. STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Jasmine Lane, its Affiliates (as defined in Section 15), and its and their respective officers, directors, employees, agents, and service providers (collectively, the "Indemnified Parties") from and against any third-party claims, demands, losses, liabilities, damages, judgments, settlements, and expenses (including reasonable attorneys' fees and costs) brought against any Indemnified Party and arising out of or related to:
(a) your fraud or intentional misconduct; (b) any inaccurate, false, or misleading information you provided to us — including information about ownership of the property, your authority to act for its owner, or your filing; (c) your lack of authority to bind the property owner, an entity, or any co-owner to this Agreement; (d) your violation of any applicable law, regulation, or third-party right (including intellectual property, privacy, or publicity rights); or (e) your material breach of this Agreement.
Notice and control of defense. We will give you prompt written notice of any claim for which we seek indemnification under this Section, but our failure to give notice will not relieve your obligations except to the extent the failure materially prejudices your defense. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense. You may not settle any matter for which we seek indemnification without our prior written consent (not to be unreasonably withheld).
13. GOVERNING LAW
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this Agreement or the Package will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction and venue of those courts. Nothing in this section limits any right you have under California consumer-protection law that cannot be waived by contract.
The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) do not apply to this Agreement.
14. TERMINATION
This Agreement covers your 2026 review. It stays in effect until the later of June 30, 2027 and the date any refund owed to you is issued, unless it ends earlier because you cancel before you file (Section 7) or there is no case (Section 5).
We may stop providing the Package at any time before you file, for any reason, by telling you by email. If we do, nothing is owed, and we remove your card. Once you have filed, our right to the fee under Section 5 and your right to a refund under Section 6 survive any termination.
The provisions of this Agreement that by their nature should survive — including Sections 5 (Fee, for a fee already due), 6 (Our Refund Promise), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 13 (Governing Law) — will survive.
15. MISCELLANEOUS
Your California privacy rights. Our Privacy Policy applies. California residents have rights under the California Consumer Privacy Act, including the right to know what personal information we collect, to request its deletion, and to opt out of any sale or sharing of it. Our Privacy Policy explains what we collect, how we use and share it, and how to exercise these rights.
- Entire agreement. This Agreement, together with the Privacy Policy and the Terms of Service, is the entire agreement between you and Jasmine Lane regarding the Package.
- Severability. If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
- No waiver. Our failure to enforce any provision of this Agreement does not waive our right to enforce it later.
- Assignment. You may not assign this Agreement without our prior written consent. We may assign this Agreement, in whole or in part, in connection with a merger, acquisition, financing, reorganization, or sale of assets.
- No agency. This Agreement does not create any partnership, joint venture, employment, or agency relationship. We are not your agent or representative for any purpose.
- Force majeure. We are not liable for any delay or failure to perform caused by circumstances beyond our reasonable control.
- Notices. Notices to Jasmine Lane must be sent to the mailing address or email address listed in Section 16. Notices to you may be sent to the email address associated with your account and are effective when sent.
- Affiliate. "Affiliate" means any entity that, directly or indirectly, controls, is controlled by, or is under common control with Jasmine Lane, where "control" means ownership of more than fifty percent (50%) of the voting interests of the entity or the power to direct its management and policies.
